Frank Niu is a counsel at Dentons' Beijing office and a member of the firm's Corporate group. He has extensive experience in foreign direct investments in China through joint ventures, acquisitions, wholly-owned subsidiaries and other forms. He advises clients on transaction structuring, documentation, due diligence, and regulatory matters in a wide range of industrial sectors including without limitation automobile, energy, mining, infrastructure, financial services and TMT. He also assists foreign investors in identifying, managing and resolving legal and regulation issues in their daily operations in China.  

Frank has been practicing with international firms in China for 15 years, including working with Baker & McKenzie and Gide. He joined Dentons in May 2014.

Experience

  • Advised Renault S.A. on negotiations of its proposed joint venture with Dong Feng Motor, a major Chinese auto company, to manufacture passenger cars in China.
  • Advised Navistar on its joint venture with China’s JAC Motor, to manufacture light and medium trucks in China. 
  • Advised Chery Motor, a Chinese auto company, on its proposed passenger car joint ventures with Fiat and Chrysler respectively in China.  
  • Advised Lafarge SA, a major cement maker in the world, in its acquisition of Sichuan Shuangma Cement Group Co. Ltd., a public company listed on China’s A-share market, and certain other cement production companies in southwestern China, also advised Lafarge on its formation of a joint venture with Shui On Construction and Materials Company.
  • Advised SunPower Corporation, an internationally leading manufacturer of photovotaic power generation systems, on its investments on a series of joint ventures in China engaged in the development and operation of PV projects and manufacturing of PV systems.
  • Advised AXA SA in the sale of part of its interest in AXA-Minmetals Assurance Co. Ltd., a life insurance joint venture in China, to Industrial and Commercial Bank of China and the restructuring of the join venture.
  • Advised Danaher, a US-based tool manufacturer, on the acquisition, integration and restructuring of equity and cooperative joint ventures owned by Cooper Industries in China.
  • Advising Jet Aviation AG, a word leading business aviation services provider, on its ground service joint venture with Chinese partners in Beijing.
  • Advised Unilver in its acquisition and integration of the joint ventures owned by Bestfoods in China.
  • Assisted a Danish manufacturer of hyaluronic acid in restructuring its joint venture in Qingdao with certain Chinese individual investors.
  • Advised Jet Aviation AG in its establishment of a ground service joint venture with Chinese partner in Beijing.
  • Advised Faiveley Transport, a French railway equipment manufacturer, in its acquisition of a Chinese company producing air compressors for locomotives.
  • Advised China Minmetals Corporation, a major mining company in China, on the financing of its US$5.85 billion acquisition of the Las Bambas mining project in Peru from from Glencore-Xstrata.
  • Advised Sinopec International Petroleum Exploration and Production Corporation, a member of the Sinopec Group, on its acquisition of interests in certain oil fields in Kazakhstan.
  • Advised China Shougang International Trade and Engineering Corporation in its investment in a steel mill located in Malaysia, which is the largest integrated still mill in Southeast Asia.
  • Advised the shareholder of Kiekert AG, a German auto parts company, on sale of the company to China’s Hebei Lingyun Industrial Group Co. Ltd.
  • Advised a Chinese auto part company on its proposed acquisition of the automobile business of the US-based Sequa Corporation.
  • Assisted State Grid Corporation of China in its investment in a joint venture in the Philippines for the operation of the national grid of the Philippines.
